Terms of Service

These Terms of Service ("Terms") govern your use of the GoGo AI application and related services (collectively, the "Service") provided by GoGoMinds Software Inc. ("we", "us", or "our"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service on devices you own or control, subject to these Terms. You may not reverse-engineer, decompile, or disassemble the Service, nor may you sublicence, rent, lease, or redistribute access to it.

2. Accounts

Certain features of the Service require you to create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorised use.

3. Subscriptions and Billing

The Service may offer free and paid tiers. Paid subscriptions are purchased and managed through the Apple App Store or Google Play Store. Subscription terms, pricing, renewal, and cancellation are governed by the policies of the applicable platform. We do not process payments directly and do not have access to your payment card information.

The Service may also offer prepaid credits for usage-based features. Credits are non-refundable, non-transferable, and have no cash value. We reserve the right to modify credit pricing at any time; changes will not affect credits already purchased.

4. API Keys and Third-Party Providers

The Service allows you to connect to third-party AI providers using your own API keys. You are solely responsible for obtaining, securing, and maintaining valid API credentials and for complying with the terms and policies of each provider you use.

Requests to third-party providers are transmitted directly from your device. We do not intermediate, monitor, or store your prompts, API keys, or the responses you receive. Your use of any third-party provider constitutes a separate contractual relationship between you and that provider. We are not a party to that relationship and accept no liability for the conduct, availability, accuracy, or data practices of any third-party provider.

5. Cloud Sync

If you enable cloud sync, your chat and note content is encrypted on your device before being transmitted to our servers. We store only the encrypted data for the purpose of synchronising it across your devices. We cannot access or read your content in its unencrypted form. You are responsible for safeguarding your encryption credentials; if they are lost, we cannot recover your data.

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights.
Generate, store, or transmit content that is unlawful, harmful, threatening, abusive, or that exploits minors in any way.
Distribute malware or interfere with the operation or security of the Service.
Circumvent any technical measures or access controls implemented in the Service.
Use the Service in any manner that violates applicable export control or sanctions regulations.

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated these Terms.

7. AI-Generated Content

Content generated by AI models may be inaccurate, incomplete, or misleading. You acknowledge that AI outputs do not constitute professional, legal, medical, or financial advice. You are solely responsible for evaluating and verifying any AI-generated content before relying on it. We make no representations or warranties regarding the accuracy, reliability, or fitness for any particular purpose of AI-generated content.

8. Intellectual Property

The Service, including its design, code, and branding, is the property of GoGoMinds Software Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or logos.

All third-party provider names, logos, and trademarks referenced in the Service belong to their respective owners. We are not affiliated with, endorsed by, or sponsored by any third-party AI provider.

You retain ownership of any content you create using the Service. AI-generated content may be subject to the terms of the provider that produced it.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

Third-party AI providers may modify, rate-limit, or discontinue their services at any time. We do not guarantee the availability, performance, or continued operation of any third-party service accessible through the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, GoGoMinds Software Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service, regardless of the theory of liability.

Our total aggregate liability for any claim arising under or relating to these Terms shall not exceed the amounts you have actually paid to us in the six (6) months preceding the event giving rise to the claim, or fifty Canadian dollars (CAD $50), whichever is greater. This limitation does not apply where prohibited by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless GoGoMinds Software Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights or applicable law.

12. Children

The Service is not directed to children under the age of 13 in the United States or under the age of 16 in the European Union and United Kingdom. If you do not meet the applicable minimum age requirement, you may not use the Service.

13. Modifications

We may revise these Terms at any time by updating this page. When we do, we will revise the "Last updated" date at the top. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Service.

14. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have breached these Terms or pose a security risk. You may discontinue use of the Service and cancel any active subscription through your Apple or Google account at any time. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.
